FORCE 24 LTD APP EXTERNAL APPS TERMS AND CONDITIONS INCLUDING WHATSAPP
These terms and conditions apply to the Customer's use of the Supplier's External Apps ("Services") including WhatsApp. By signing up to use the Service and clicking "Accept" you confirm your acceptance of these terms and conditions ("Terms") and those belonging to WhatsApp Business Messaging Policy. The Supplier has no control over WhatsApp's own Terms and you are responsible for any due diligence needed before agreeing to them. The WhatsApp Terms are in addition to those of the Supplier's not in lieu of them. In the event of a conflict between the Supplier's Terms and those belonging to WhatsApp, the Supplier's Terms shall take precedence. If you are accepting these Terms on behalf of a company or another legal entity, you represent that you have the authority to bind that entity.

- Definition and Interpretation
- In these Terms unless the context otherwise requires the defined terms and interpretive provisions set out in the Supplier's terms and conditions of business shall apply. The Customers use of the Service is subject to the Supplier's terms and conditions of business. In the event of a conflict between the existing terms and conditions and these Terms these Terms shall take precedence.
- Services
- The Customer shall not, and shall procure that each Authorised User shall not, access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that:
- is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
- facilitates illegal activity;
- depicts sexually explicit images;
- promotes unlawful violence;
- is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or
- in a manner that is otherwise illegal or causes damage or injury to any person or property.
- It is not the Supplier's responsibility to carry out checks for the matters described above and the Supplier reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer's access to any material that breaches the provisions of this clause 2.1.
- The Customer shall not except as may be allowed by any Applicable Laws which are incapable of exclusion by agreement between the parties and except to the extent expressly permitted under these Terms:
- attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Services (as applicable) in any form or media or by any means; or
- attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Services; or
- license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services available to any third party except the Authorised Users; or
- attempt to obtain, or assist third parties in obtaining, access to the Services, other than as provided under this clause 2.3; or
- introduce or permit the introduction of any Virus into the Supplier's network and information systems in relation to its use of the Services; or
- infringe the Supplier's Intellectual Property Rights or those of any third party in relation to its use of the Services (to the extent that such use is not licensed by these Terms); or
- use the Services in a way that could damage, disable, overburden, impair or compromise the Supplier's systems or security or interfere with other users.
- The Customer shall:
- ensure that its own computer systems and associated environment are protected against the introduction of any Viruses;
- use all reasonable endeavours to prevent any unauthorised access to, or use of, the Services; and
- in the event of any such Virus being introduced or unauthorised access or use, promptly notify the Supplier.
- No Warranty
- Except as expressly and specifically provided in these Terms:
- all warranties, representations, conditions and all other terms of any kind whatsoever implied by statute or common law are, to the fullest extent permitted by Applicable Laws, excluded from these Terms; and
- the Services are provided to the Customer on an "as is" basis without any warranty or representation of any kind.
- The Supplier makes no warranty or representation that the Services will integrate with any third-party system or platform ("TPP"). For the avoidance of doubt, the Supplier shall not be responsible for providing any support service, training or user guidance in respect of any TPP.
- The Customer is responsible for ensuring that it has the right to access and use the TPP it intends to use to integrate the Services with, and compliance with any applicable terms and conditions or usage requirements regarding that TPP.
- The Customer hereby acknowledges that the Service has not be developed to meet its individual requirements, or the individual requirements of its Authorised Users.
- It is the Customer's responsibility to provide an opt out option on the WhatsApp Business message template for processing on the Force24 Platform.
- Charges
- The charges will be set out App Pricing The Supplier reserves the right to amend the charges and shall give the Customer 30 days' notice in writing of any changes in the charges for the Services.
